Terms of Service

These Terms govern your access to and use of the Digizonics website and services. By using our services, you agree to these Terms.

1. Services

Digizonics provides custom software products and development services to UK accounting firms. Specific deliverables, fees and SLAs are defined in your signed order form or statement of work.

2. Accounts

You are responsible for keeping account credentials confidential and for all activity under your account. Notify us immediately of any unauthorised access.

3. Acceptable Use

• Do not misuse, reverse engineer, or attempt to disrupt the services.
• Do not upload unlawful, infringing or malicious content.
• Do not use the services to violate any applicable law or regulation.

4. Fees & Payment

Fees are stated in your order form, exclusive of VAT. Invoices are payable within 14 days unless otherwise agreed.

5. Intellectual Property

Digizonics retains all rights to its platform, models and underlying technology. You retain rights to your data and to custom deliverables as specified in your contract.

6. Confidentiality

Each party will keep the other's confidential information secret and use it only to perform the contract.

7. Warranties & Liability

Services are provided with reasonable skill and care. To the maximum extent permitted by law, Digizonics' aggregate liability is capped at the fees paid in the 12 months preceding the claim.

8. Termination

Either party may terminate for material breach not remedied within 30 days' written notice. On termination, outstanding fees become payable and we will assist with data export.

9. Governing Law

These Terms are governed by the laws of England & Wales, and the parties submit to the exclusive jurisdiction of the English courts.
